a) By accepting this Agreement, “you” or “Client” hereby engages WannaJet, LLC (referred to herein as “WannaJet”), to act as its agent to arrange for private aircraft charter services for Client from third party certified air carriers operating under Part 135 of the Federal Aviation Administration (FAA) Regulations (Section 14, Code of Federal Regulations) and registered as an air taxi operator with the U.S. Department of Transportation (“DOT”) (referred to herein as “Air Carriers”). Client hereby appoints WannaJet as its agent to solicit and obtain Air Carrier charter services for Client, and to act on Client’s behalf in obtaining such Air Carrier charter services, including WannaJet signing agreements with Air Carriers, as Client’s agent, on behalf of Client and thereby binding Client to such arrangements with the Air Carriers.

b) WannaJet may quote prices for air transportation to be provided by third parties, but pricing is subject to confirmation and other contingencies as described below, and WannaJet is not and cannot sell air transportation. WannaJet is not an Air Carrier, and is not an agent of any Air Carrier.

c) WannaJet will be acting as agent for other clients for the express purpose of procuring air charter transportation for groups of clients, after these groups have identified a common travel plan.

a) When using the WannaJet service, you will:

i. Indicate your travel wishes, identifying the proposed itinerary of your trip (origination, destination, dates and other data as requested by WannaJet) (the proposed itinerary being referred to below as a “Travel Plan”) and at this time WannaJet will quote a price that will apply to the Travel Plan, assuming you join or you are joined by at least three others and as many as five others, and assuming the travel is booked with an Air Carrier as provided below.

ii. Until your group meets a minimum number determined by WannaJet, your Travel Plan will be published so that it may be seen and joined by other participants interested in the same plan.

iii. If your group reaches the agreed minimum size as determined by WannaJet (between four and six, inclusive), WannaJet will send to you (and the others) a “Group Closing Request” confirming that your group has reached minimum size and advising the group that WannaJet is willing and prepared to book the Travel Plan as requested by each member of the group.

iv. Upon receipt of a Group Closing Request, each member of the group is expected to issue a “Validation” of the Group Closing Request, directing WannaJet to act as their agent to book the travel.

iv. WannaJet books the travel as agent to each member of the group (“Booking”), and advises the group of the details when available.

b) WannaJet will act as Client’s agent in acquiring aircraft charter services for Client from Air Carriers as requested by Client and in accordance with this Agreement. The process for providing the services shall be as set forth herein and at www.wannajet.com (the “Site”), as changed from time to time.

c) Client understands and acknowledges that there are cancellation charges that the Client will incur (and will be obligated to pay) as follows:

i. If Client cancels prior to WannaJet’s delivery of the Group Closing Request, there will be no penalty.

ii. If Client cancels upon or after WannaJet’s delivery of a Group Closing Request, there will be a penalty of 40% of the Client’s travel price.

iii. If Client cancels after Validation and prior to the scheduled departure date of the trip, there will be a cancellation charge of 100% of the quoted price for the trip.

iv) If Client causes a delay in any Confirmed Trip, Client shall be subject to any penalties or forfeiture contained in the Air Carrier’s contract.

v) If a trip is cancelled by the Air Carrier for any reason other than Client’s breach of the Air Carrier’s terms and conditions, then Client will be entitled to a refund in accordance with that Air Carrier’s contract and policies.

WannaJet will be permitted to charge any fees or penalties to Client’s provided credit card information subject only to notice after the charge has been made. See “Payment Terms” below. Client acknowledges that a “no show” will be considered a cancellation and the Client will be charged 100% of the price of the trip.

a) The Travel Plan price quote provided by WannaJet to Client includes the Air Carrier’s flight fees, fuel surcharges, over-flight permits, landing charges, customs fees, crew trip expenses, WannaJet’s fee, various taxes and government fees (including federal excise taxes), and additional expenses relating to the services requested by the Client.

b) If the Client requests and receives a deviation from the original Itinerary, then Client’s costs may differ from the original cost estimate in the Itinerary and Client agrees to pay such additional costs.

a) Upon your receipt of the Group Closing Request, you agree to pay all costs, fees and expenses as set forth therein. All amounts payable by you for any services shall be payable by charge to a credit card account. By providing your credit card information, you authorize WannaJet to obtain payment from the issuer of the credit card you presented. You agree to keep a current credit card account available to WannaJet and with sufficient credit limits to secure requested travel.

b) You agree to perform the obligations set forth in your agreement with your credit card issuer, and WannaJet is a beneficiary of those obligations.

c) Your credit card will only be charged: (i) not sooner than two (2) hours prior to a trip’s departure time, and (ii) as and when a penalty charge is incurred.. If you disagree with any charge made on your account, WannaJet agrees to consider the basis of your disagreement in good faith. If a charge is rejected, or if WannaJet is required to refund any amount to you or to your credit card company, then WannaJet shall be entitled to seek restitution from you directly, and if WannaJet prevails in any such action, you will also be required to pay WannaJet’s reasonably legal fees, administrative and court costs.

All travel arranged under this Agreement will be provided by an Air Carrier, and is not being provided by WannaJet which is only acting as Client’s agent for the purpose of acquiring charter services from Air Carriers for Client. Client further understands and acknowledges that the Air Carrier has sole responsibility, liability and control of all aspects of the aircraft charter services provided to Client, including without limitations, aircraft availability and pricing, the commencement and termination of scheduled flights, the operation, regulation, condition and safety of the flights, passengers, baggage, and cargo and other people and events associated with Client’s air travel, such as crew performance and catering services. Client agrees to comply with any requirement that the Air Carrier may have regarding lawful and orderly boarding and travel including, but not limited to, (a) displaying identification and other documentation, (b) undergoing security screening, and (c) refraining from bringing restricted or prohibited items on board.

Without limitation, you acknowledge and agree that the Air Carrier and/or their pilots, crewmembers, employees and/or agents will be solely responsible for all decisions regarding the commencement, operation and termination of all flights including safety and security matters. Client further acknowledges that WannaJet bears no responsibility for decisions regarding such safety determinations, and Client agrees to hold WannaJet harmless from any and all consequences resulting from decisions regarding such safety determinations. WannaJet will be permitted to reasonably rely on the Air Carrier’s representations as to their licensure, regulatory status and certifications.

WannaJet will not be deemed to be in breach of its obligations hereunder or have any liability or responsibility for any delay, cancellation, or damage arising in whole or in part from any weather conditions, act of God, act of nature, acts of civil or military authority, civil commotion, war or warlike operations, or imminence thereof, strike or labor dispute, blockade, embargo, government regulation, law, rule or authority, acts or omissions of government authorities including all civil aviation authorities, requisition of aircraft by public authorities, breakdown or accident to the aircraft, mechanical failure, lack of essential supplies or parts or if the safety of passengers and/or property is deemed by the aircraft’s pilot or the Air Carrier’s operational supervisors to be in jeopardy, or for any cause beyond the direct control of WannaJet.

a) WannaJet’s obligation to you is fulfilled when a Group Closing Request is delivered occurs, and all other activity and associated liability shall be between you and the Air Carrier. WannaJet shall have no liability or responsibility for delay, cancellation or failure to furnish any service to be provided to you when caused by mechanical difficulty, weather conditions, acts of God, acts of nature, acts of civil or military authority, civil commotion, war or warlike operations or imminence thereof, strikes or labor disputes, blockade, embargo, government regulation, law, rule or authority, acts or omissions of government authorities including all civil aviation authorities, requisition of aircraft by public authorities, breakdown or accident to aircraft, mechanical failure, lack of essential supplies or parts, or if the safety of passengers and/or property is deemed by the aircraft’s pilot or the Air Carrier’s operational supervisors to be in jeopardy, or for any cause beyond their reasonable respective control.

b) IN NO EVENT WILL WANNAJET BE LIABLE TO THE CLIENT, OR ANY OF CLIENT’S AGENTS, GUESTS, EMPLOYEES OR PASSENGERS FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL. SPECIAL OR EXEMPLARY DAMAGES, WHETHER ARISING IN CONTRACT OR IN TORT (INCLUDING STRICT LIABILITY AND NEGLIGENCE), SUCH AS, BUT NOT LIMITED TO, LOSS OF REVENUE, DIMINUTION OR LOSS OF VALUE, LOSS OF USE, LOSS OF ANTICIPATED PROFITS OR THE COSTS ASSOCIATED WITH SUBSTITUTE OR REPLACEMENT AIRCRAFT. CLIENT WILL INDEMNIFY AND HOLD WANNAJET HARMLESS AGAINST ANY LOSS DAMAGE OR EXPENSE INCURRED BY WANNAJET BY REASON OF ANY ACTION OR OMISSION OF CLIENT, ITS EMPLOYEES, AGENTS, PASSENGERS AND GUESTS. FURTHERMORE, CLIENT AGREES TO PAY FOR ANY DAMAGES TO THE CHARTER AIRCRAFT CAUSED BY CLIENT OR GUEST OF CLIENT.

This Agreement is subject to all applicable rules, regulations, approvals and certifications in effect from time to time including, but not limited to, those promulgated by the FAA and the Department of Transportation (“DOT) which now or hereafter may be imposed or required. WannaJet shall not be liable to you for any action or failure to act that WannaJet deems necessary to comply with applicable law, whether or not such action or failure to act would be a breach of this agreement.

Unless this Agreement is terminated early, this Agreement shall be for an initial three month period, and then automatically extend month-to-month. Either Client or WannaJet may terminate this Agreement with or without cause by furnishing the other ten (10) days advance written notice after the initial three month term. In the event of the termination of this Agreement due to default by Client, WannaJet may cease to provide all remaining services under this Agreement and shall have all right to bring an action or claim against Client for all sums which may be due and owing hereunder and to pursue all other remedies available to it at law or in equity (including, without limitation, attorney fees, costs, and expenses). WannaJet reserves the right, in its sole discretion, to suspend agency services hereunder during any period provided for curing the default by Client. Notwithstanding the foregoing, Client shall remain liable and responsible for all payment obligations under this Agreement and all provisions hereof will continue to apply until Client has paid all obligations in full.

This Agreement shall be construed, interpreted and enforced in accordance with, and shall be governed by, the laws of the State of Connecticut, both procedural and substantive, without regards to the principles of conflicts of law. The parties agree to the nonexclusive jurisdiction of the state and federal courts within the State of Connecticut.

The illegality or invalidity of any paragraph, clause or provision contained or referred to in this Agreement shall not affect or invalidate any other paragraph or provision hereof. If any provision of this Agreement, or any portion thereof, is held to be invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force and effect.

This Agreement together with any confirmed Itinerary constitutes the entire agreement and understanding of the Parties and no amendment, modification or waiver of any provision herein shall be effective unless in writing and executed by WannaJet and Client. Any and all prior agreements, understandings and representations are hereby terminated and cancelled in their entirety and are of no further force and affect. The parties acknowledge that no other party, or any agent or attorney of any other party, has made any promise, representation or warranty whatsoever, express or implied, not contained herein concerning the subject matter hereof, to induce them to execute this Agreement, and acknowledge that they have not executed this instrument in reliance on any such promise, representation or warranty not contained herein, and further acknowledge that there are no other agreements or understandings between the parties relating to this Agreement that are not contained herein.

The Client understands and agrees that any breach of this Agreement, or any action, cause, claim, damage, demand or liability arising from his or her breach of this Agreement, could make him or her liable in a complaint, cross-compliant or counterclaim for all resulting damages, including attorneys’ fees and collection expenses.

Waiver by one party hereto of breach of any provision of this Agreement by the other shall not operate or be construed as a continuing waiver.

If any provision of this agreement is unlawful, void or unenforceable, the remaining provisions of the agreement will remain in place.

This may include information that is required in order to satisfy U.S. and international laws governing air transportation security. Personal information means information that can be linked to a specific individual, such as name, address, telephone number, e-mail address and credit card number.

What personal information does WannaJet.com gather from me and how is this information used?

When browsing our site, you are not required to provide any personal information unless and until you choose to make a purchase or sign up for one of our e-mail newsletters or other services as described below. We do not knowingly permit the site to be used by any person under the age of eighteen and we do not knowingly collect any personal information from children (meaning those younger than thirteen years of age).

If you are making a Purchase.

In order to purchase travel and related services through our site, you must provide us with certain personal information such as your name, your credit card number and expiration date, your credit card billing address, your telephone number, your e-mail address and the name and when applicable, names of the guest(s) traveling with you. We may also ask you for other personal information to: (a) comply with applicable law governing transportation security, (b) satisfy requirements of charter operators, and (c) better know you and thus allowing us to personalize some of our services (catering, newspaper, magazine, travel destination suggestion etc...). We require the basic information so that we can process, fulfill and confirm your reservations and transactions and keep you informed of each transaction's status. If you are making a reservation for one or more guests traveling with you, you will need to make sure that each of them agree, in advance, that you may disclose their personal information to us. For your convenience, we make certain information about your reservation available to you or other persons authorized by you to receive such information. For example, if you forgot your flight number, you or another person authorized by you may retrieve that information from us after providing information sufficient in our eyes to confirm your identity or that such other person is authorized by you to receive that information.
You may receive pre-recorded and text messages from WannaJet.
When you plan travel on our site, we request you to provide us with a contact telephone number. We will use your telephone number in the event that we need to inform you of changes or other matters that may affect your booking or trip, such as changes due to flight delays, inclement weather, and cancellations. We may seek other means to communicate with you, including email address(es), and will use those contacts the same way.

Member Registration

If you choose to become a registered member of WannaJet.com, you must provide your name, address, telephone number, e-mail address, a unique login name, password, and password validation, and a security question to allow our customer care associates to verify your identity. This information is collected on the registration form for several reasons including: (i) personal identification; (ii) to complete air, hotel, car, and other reservations; (iii) to allow us to contact you for customer service purposes, if necessary; (iv) to customize the content of our site to meet your specific needs; and (v) to make product improvements to our site. In addition, we need your e-mail address to confirm your new member registration and each reservation you transact on our site, send you your flight itinerary and flight confirmation request, a reminder of your trip details 24 hour prior to departure as well as your automated generated invoice. As a member of the WannaJet community, you will also occasionally receive updates from us about fare updates, special offers, flight of interest and new services or functionalities. It can be done through Newsletters or ad hoc email listing. You will have the option to select the appropriate frequency when you complete your customer profile. However, you may choose at any time to no longer receive these types of e-mail messages.

Member Profile

TSA Secure Flight

Under the US Transportation Security Administration (TSA) Secure Flight program most air passengers are now required to provide their full name, date of birth, and gender (plus redress number, when you have a pending action to correct your TSA status). You will need to provide us with this information while making your reservation. We will not disclose this information to any third parties other than the applicable charter operators or otherwise as required by law. If you are making a reservation for guest(s), you should make sure each traveler agrees, in advance, that you may disclose their personal information to us.
